Mercuria Energy Group has signed an agreement to acquire Raízen Argentina’s downstream operations, including its Shell-branded fuel station network, refining assets and distribution infrastructure. The deal, valued at $1,4 billions, is subject to regulatory approvals and represents a significant shift in ownership of one of Argentina’s largest fuel retail networks.

The transaction covers a nationwide system of 894 Shell service stations, positioning Mercuria to take control of a key retail fuel footprint in the country. The network plays a central role in Argentina’s downstream market, linking refining, logistics and retail operations to serve consumers and businesses.

Mercuria said the acquisition aligns with its broader strategy to expand its presence across global energy markets, with Argentina viewed as offering long-term growth potential. The company plans to leverage its operational capabilities and regional expertise to support continuity and future development across the network.

Brian Falik, Mercuria’s Global Chief Investment Officer, said: “Mercuria has the financial strength, operational capability, and long-term perspective to support and grow this business.” He added: “We are committed to ensuring continuity for employees, customers, suppliers, and partners, while investing responsibly in the future development of the platform.”

The company indicated that maintaining operational reliability across the fuel station network will be a priority during the transition period. The agreement highlights ongoing consolidation and investment activity in Latin America’s downstream fuel sector, where infrastructure ownership and retail networks remain strategic assets for market positioning.
