Couche-Tard drops $47B bid for 7-Eleven owner, ends takeover saga
Canadian retailer cites lack of engagement from Seven & i; Japan’s retail giant insists talks were constructive.
After more than a year of high-stakes negotiations and internal upheaval, Canadian convenience store operator Alimentation Couche-Tard has officially withdrawn its $47 billion bid to acquire Seven & i Holdings, the Japanese conglomerate that owns the global 7-Eleven brand.
Couche-Tard, the parent company of Circle K, cited what it described as “a lack of sincere or constructive engagement” from Seven & i, making the Tokyo-based company responsible for deliberate delays and resistance to meaningful discussions. In a letter to Seven & i’s board delivered on Thursday, Couche-Tard said the environment was no longer conducive to advancing the proposed transaction, according to The New York Times.
Seven & i responded to Couche-Tard’s announcement by expressing disappointment over the Canadian firm’s withdrawal, while pushing back against claims of obstruction. The company stated that its board and special committee had engaged in good faith and characterized Couche-Tard’s letter as containing “numerous inaccurate statements.”
The ambitious takeover attempt had generated intense scrutiny, not just for its scale but for the significant shifts it triggered inside Seven & i. Since Couche-Tard’s approach last summer, the Japanese company has weathered a competing takeover bid from the founder’s son, reshuffled its leadership, and welcomed a new Japanese American CEO with a mandate to pursue growth independently.
The failed bid has underscored the growing pressure on Japanese corporations to respond to calls for improved governance and shareholder returns. The 7-Eleven saga has become emblematic of a wider corporate shift in Japan, as companies with global brands face rising expectations for transparency, efficiency, and strategic clarity.
